Please take time to read our terms and conditions carefully as they are designed to protect and clarify your legal rights as well as our own. Please also read our privacy statement regarding any personal information you may provide. The terms and conditions outlined here apply to all Cloth & Clover products that may be included as part of the Cloth & Clover collection.

Legal & Policies

Cloth & Clover works primarily with interior designers and trade clients. The following pages set out the terms governing use of our website, the basis upon which we accept orders, and how we handle personal information. Should you require clarification on any point, the studio will be pleased to assist.

Representation

In the United Kingdom, France, the United States and Australia, our collections are represented by appointed showroom partners. Trade enquiries within those territories may be directed accordingly. We also continue to work directly with certain established clients. All other enquiries should be addressed to the studio.

Products

From time to time we may amend or withdraw items from the collection.

For retail orders, the minimum quantity is one metre for fabric and one 10-metre roll for wallpaper. The minimum quantity for wide-width wallpaper is generally ten metres, subject to availability. Minimum quantities may be adjusted where necessary.

Pricing

Prices are quoted in pounds sterling and are inclusive of VAT at the prevailing rate unless otherwise stated. Prices may be amended from time to time; the price confirmed at the point of order will apply.

Prices shown on the website exclude delivery. International orders are supplied exclusive of UK VAT and may be subject to local duties, taxes or import charges.

Payment

All orders placed via the Cloth & Clover website are payable in full at the time of order. Payments made through the website are processed securely via Shopify Payments, provided by Shopify International Limited (registered in Ireland, company number 560279, registered office 2nd Floor, 1–2 Victoria Buildings, Haddington Road, Dublin 4, D04 XN32, Ireland). Cloth & Clover does not store or have access to full payment card details. Payment information is encrypted and transmitted directly to Shopify’s secure systems in accordance with applicable data protection legislation. Further details are set out in our Privacy Policy.

Orders placed directly with Cloth & Clover or via our appointed showroom partners are supplied strictly on a pro forma basis unless otherwise agreed in writing. Payment in cleared funds is required prior to production or dispatch, typically by bank transfer. We do not offer trade credit terms.

We may decline an order at our discretion.

Ordering Process

Production orders may be placed directly with Cloth & Clover or via our appointed showroom partners.

All quotations are provided in good faith but do not constitute binding offers until confirmed in writing.

An order constitutes an offer to purchase goods. A binding contract is formed only when we have accepted and confirmed the order in writing.

These terms constitute the entire agreement between Cloth & Clover and the customer in relation to the sale of goods. Any variation must be agreed in writing.

Delivery – UK

Mainland UK fabric and wallpaper orders are generally sent on a next working day service via DX, UPS or DHL and may require a signature upon delivery. Sample requests are sent via Royal Mail. Further information is available on our Delivery page.

Delivery – International

We ship worldwide. Overseas delivery charges are calculated according to size, weight and destination and will be confirmed at the time of order.

International customers are responsible for complying with local import requirements and for payment of any applicable duties, taxes or tariffs. Delivery Duty Paid (DDP) arrangements may be agreed in advance of dispatch where appropriate.

Lead Times

Our fabrics are printed in short runs and are often made to order; lead times therefore vary according to stock.

Where fabric is available, we aim to dispatch within five working days of receiving payment. If a design is out of stock, the anticipated lead time will be confirmed at the time of order and is typically four to six weeks from receipt of payment.

Delivery dates are estimates and are not of the essence. Whilst we will keep you informed of any delay, we are not liable for delay or failure to deliver arising from circumstances beyond our reasonable control.

Force Majeure

We are not liable for delay or failure to perform our obligations where such delay or failure arises from circumstances beyond our reasonable control, including interruption of production, supply chain disruption, transport delay or other unforeseen events.

Amendments and Cancellation

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, retail customers may have the right to cancel certain online purchases within 14 days of receiving goods.

This right does not apply to goods made to a customer’s specification. Many of our fabrics and wallpapers are printed to order or cut to a specified length and are therefore exempt from statutory cancellation rights. Once production has commenced, or fabric or wallpaper has been cut, orders cannot be cancelled.

Requests to amend or cancel an order must be made in writing. Where an order has not entered production we will always try to assist but may recover costs incurred after confirmation.

Returns and Faulty Goods

Goods should be inspected upon receipt. Any claim for damage, defect or shortfall should be notified in writing within seven days of delivery, without prejudice to statutory rights.

Fabric and wallpaper are sold by the metre and cut to order. Once cut, they cannot be returned unless faulty. Printed-to-order goods are non-returnable.

Where goods are faulty or not as described, we will repair, replace or refund in accordance with the Consumer Rights Act 2015. We may request return of the goods prior to issuing any refund or replacement.

We are not responsible for defects arising from misuse, incorrect handling or failure to follow care or hanging instructions. Slight variations in colour, weave or texture are inherent in screen printing and natural fibres and are not regarded as faults.

Where a statutory right of cancellation applies, return costs are the responsibility of the customer.

Refunds

Goods acknowledged as faulty or incorrect will be refunded in full, including reasonable return costs. Refunds will be processed as soon as possible and typically within five working days of receipt.

Where we agree to accept a return for reasons other than our error or a manufacturing defect, a handling charge of up to 25% of the invoice value may be applied. Carriage costs remain the responsibility of the customer.

Liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.

Subject to the above, our liability for any fault or defect in the goods is limited to the original purchase price.

Customers are responsible for checking that the correct goods have been received before cutting, processing or passing them to a third party. Except as set out above, customers must satisfy themselves that goods are suitable for their intended purpose prior to ordering.

Title and Risk

Risk in the goods passes upon delivery. Title shall not pass until payment has been received in full in cleared funds.

End Use of Fabric

Our fabrics are intended for interior decoration, including curtains, blinds and light upholstery.

Cloth & Clover may also use its fabrics in the production of its own products and accessories. We may decline orders where the intended use is the manufacture of products for resale without prior written consent. Fabric may not be resold by the metre without express written permission.

Intellectual Property and Design Protection

All designs, artwork, archive material and imagery forming part of the Cloth & Clover collection remain the intellectual property of Cloth & Clover Limited and are protected by copyright and other applicable intellectual property laws.

The purchase of fabric or wallpaper does not confer any right to reproduce, adapt, copy, scan, digitise or otherwise replicate a design in any format or medium. Designs may not be used for commercial reproduction, textile manufacture, digital use, printed products or licensing without prior written consent.

Use of our fabrics for their intended decorative purpose — including curtains, blinds and upholstery — is permitted. Any other commercial use of the design itself requires written permission.

Colour Matching

Every care is taken to ensure consistency of colour across the collection. However, due to the natural qualities of linen and the traditional methods used in production, slight variations in weave, texture or shade may occur between batches. These are characteristic of a hand-produced process and are not regarded as faults.

If precise colour matching is required, a stock cutting should be requested prior to placing an order.

Samples

Samples are supplied for information and guidance only. Larger returnable samples may be borrowed free of charge if returned within ten working days. If not returned within this period, we may charge a £30 fee.

Pattern Repeats and Widths

Dimensions and pattern repeats stated in price lists, on the website or within sampling materials are approximate and may vary owing to the traditional nature of our printing and weaving processes.

Care and Natural Characteristics

Cloth & Clover fabrics are dry clean only. Natural fibres and water-based pigments may fade when exposed to prolonged or direct sunlight. This is an inherent characteristic of traditionally printed textiles and should be considered when selecting fabric for light-filled spaces.

A shrinkage tolerance of approximately 3–5% in width and length may occur due to atmospheric conditions, cleaning or handling. Excessive heat, including heavy steaming, may distort or affect the fabric and should be avoided.

These qualities are part of the nature of the materials and processes used and are not regarded as faults. We cannot accept responsibility for shrinkage or fading arising from environmental conditions, cleaning methods or treatment after purchase.

Treatments

Cloth & Clover fabrics and wallpapers are supplied with a pure untreated finish. Flame-retardant interlinings may be required for upholstery. We accept no liability for changes in appearance, performance or defects arising from treatments applied after purchase, including flameproofing or stain-resistant applications.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Terms of Sale

These Terms of Sale and any contract formed under them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction in respect of any dispute arising in connection with them.
